What is an Accredited investor?

An Accredited Investor is an individual or entity that meets specific income, net worth, or professional criteria as defined by the SEC to invest in certain unregistered securities. This typically includes individuals with an annual income over $200,000 ($300,000 for joint income) or a net worth over $1 million (excluding their primary residence), and those who hold specific securities licenses, designations, or are knowledgeable employees of a private fund. The status grants access to investment opportunities like Venture Capital, Hedge Funds, and Private Equity which are not available to the general public.

Individual/Joint Accredited Investors:

Income: An individual with an income exceeding $200,000 in each of the two most recent years, or a joint income with a spouse exceeding $300,000 in each of those years, and a reasonable expectation of the same income in the current year.

OR:

Net worth: An individual with a net worth of more than $1 million, either individually or with their spouse, excluding the value of their primary residence.

OR:

Net worth: Any entity with more than $5 million in total assets, such as a corporation, partnership, or LLC.
